1. Introduction

1.1 Firstguard Payments is a trading name of Firstguard Limited, a payment technology company registered in England and Wales under company number 16735496, with its registered office at 124–128 City Road, London, England, EC1V 2NX, United Kingdom (see also Imprint). 1.2 These terms apply to every use of our website, apps and services. 1.3 By creating an account or using our services you accept these terms.

2. Definitions

"User" means a person with a personal account; "Merchant" means a business with a business account; "Platform" means our website, apps and dashboards.

5. Copyrights

All content on the platform is protected by copyright and may not be reproduced without permission.

6. Access and availability

We aim for uninterrupted availability but cannot guarantee it. Maintenance may temporarily limit access.

7. Liability

We are liable for intent and gross negligence. For slight negligence we are liable only for the breach of essential contractual obligations, limited to foreseeable damage.

8. Termination

You may close your account at any time. We may suspend or terminate accounts in case of misuse or legal requirements.

9. General

Should any provision be invalid, the remaining provisions remain unaffected.

10. Applicable law and jurisdiction

These terms are governed by the laws of England and Wales, the country in which Firstguard Limited has its registered seat. Exclusive place of jurisdiction for merchants is London, England; for consumers the statutory rules of their country of residence apply.

11. Specific conditions for users

Personal accounts are free of charge and intended for private use only.

12. Specific conditions for merchants

Merchants must provide accurate business information and comply with our acceptable-use rules.

13. Merchant account creation

Business accounts require identity and business verification (KYC/KYB) before payments can be accepted.

14. Use of the platform and apps

You may not use the platform for illegal purposes or in a way that harms others.

15. Fees and payments

Merchants pay 1% per successful transaction on the Standard plan; Enterprise conditions are agreed individually. Personal use is free.

16. Refunds

Merchants can issue full or partial refunds from the dashboard; refunds are credited to the customer in real time.

17. Taxes

Merchants are responsible for the taxes applicable to their sales.

18. Use of the merchant's name and logo

We may list merchants as customers unless they object in writing.

19. Disclaimer

The platform is provided "as is" within the limits of the applicable law.

20. Indemnification

Merchants indemnify us against third-party claims arising from their use of the platform.

21. Changes to these terms

We may amend these terms. We inform you of material changes at least 30 days in advance.
